Welcome to Discover Beagle, Inc., a Delaware corporation ("Beagle," "we," "us" or "our"). The following terms and conditions (these "Terms") apply to your use of our Service, howsoever used.

THESE TERMS CONTAIN A BINDING, INDIVIDUAL ARBITRATION AND CLASS-ACTION WAIVER PROVISION. IF YOU ACCEPT THESE TERMS, YOU AND BEAGLE AGREE TO RESOLVE DISPUTES IN BINDING, INDIVIDUAL ARBITRATION AND GIVE UP THE RIGHT TO GO TO COURT INDIVIDUALLY OR AS PART OF A CLASS ACTION.

YOU ARE LEGALLY AND FINANCIALLY RESPONSIBLE FOR ALL ACTIONS USING OR ACCESSING OUR SERVICES INCLUDING THE ACTIONS OF ANYONE YOU ALLOW TO ACCESS YOUR ACCOUNT. YOU AFFIRM THAT YOU HAVE REACHED THE LEGAL AGE OF MAJORITY, UNDERSTAND AND ACCEPT THESE TERMS (INCLUDING ITS DISPUTE RESOLUTION TERMS).

1. Acceptance of these Terms

You hereby agree to accept these Terms by (a) either using our Service, or (b) by opening an account under a username ("Account"). BEFORE YOU DO EITHER OF THOSE, PLEASE READ THESE TERMS CAREFULLY. By using our Service, you accept and agree to be bound and abide by these Terms. If you do not want to agree to these Terms, you must not use our Service or set up an Account.

The Service is made available through the ChatGPT platform operated by OpenAI, L.L.C. ("OpenAI"). This Service is built on technology provided by OpenAI. Your use of the Service is subject to OpenAI's Terms of Use (available at https://openai.com/policies/terms-of-use/), Usage Policies (available at https://openai.com/policies/usage-policies/), and other applicable policies (collectively, the "OpenAI Terms"), which are incorporated herein by reference and form part of these Terms. In the event of any conflict between these Terms and the OpenAI Terms with respect to the AI functionality provided by OpenAI, the OpenAI Terms shall control. Beagle is not affiliated with, endorsed by, or acting on behalf of OpenAI, and OpenAI is not a party to these Terms. You acknowledge and agree that your access to and use of the Service must comply with the OpenAI Terms and that Beagle has no responsibility or liability for the availability, functionality, or policies of the ChatGPT platform.

You acknowledge that Input you provide and Output and Outcomes (each as defined) generated may be processed by OpenAI in accordance with the OpenAI Terms and that OpenAI makes no warranties regarding accuracy, reliability, or fitness for any purpose. You agree that your use of AI-generated Output is at your sole risk and subject to the limitations and disclaimers set forth throughout these Terms.

You also agree to abide by other Beagle rules and policies, including our Privacy Policy (which explains what information we collect from you and how we protect it), that are expressly incorporated into and are a part of these Terms. Please read them carefully.

Once these Terms begin to apply to you, you are bound by them until they no longer apply (see Section 17 (Termination and Cancellation)).

2. Changes to the Terms of Service

We may update these Terms from time to time. Please check this page regularly to note changes to our Terms. We may send you links to inform you of the changes we make. Your continued use of our Service following our website updates (whether on your future logins or otherwise) or emails to you in respect of the revised Terms shall be deemed acceptance of the changes to the Terms.

3. Accessing our Services and Account Security

To access certain parts of the Service and to obtain our Services, you will be asked to provide registration details, including your name and email address, and other information to create an Account. You promise that all the information you provide in Account set-up will be correct, current, and complete. Please treat your log-in information (other than username) as confidential, as you are responsible for all transactions conducted and communications transmitted while your log-in credentials are being utilized.

You may only access our Services through your own Account. Users do not own their Accounts. Sharing of Accounts is a breach of these Terms. You are responsible for all activity that occurs through your Account, whether or not you authorized such activity.

As part of your Account profile, you may display an avatar or a username. We reserve the right to change your display name if we deem it offensive, misleading, potentially infringing the rights of third parties, or otherwise inappropriate.

Warning About Sensitive Information: The Service transmits your Input to third-party AI systems operated by OpenAI. DO NOT include in your Input any information that is confidential, legally protected, or sensitive, including:

• Medical records, diagnoses, prescriptions, or health information protected under HIPAA

• Social Security Numbers, driver's license numbers, passport numbers, or other government IDs

• Financial account numbers, passwords, PINs, or security codes

• Proprietary business information or trade secrets

• Information about minors, including names, ages, schools, or locations

• Mental health information, addiction history, or stigmatized medical conditions

• Immigration status, citizenship documents, or visa information

• Genetic information or biometric data

• Any information you are legally obligated to keep confidential

Once you submit Input containing such information, you cannot retract it and Beagle has no ability to prevent its transmission to OpenAI or its processing by AI systems. You submit all Input at your own risk and Beagle disclaims all liability for your inclusion of sensitive, confidential, or legally protected information in Input.

4. Services; What We Provide

"Poruchik" is a consumer-facing artificial intelligence–powered calling assistant made available by Beagle through the ChatGPT platform operated by OpenAI, L.L.C. (the "Service"). THE SERVICE USES EXPERIMENTAL AI TECHNOLOGY THAT IS INHERENTLY UNRELIABLE. OUTPUTS ARE FREQUENTLY INACCURATE, INCOMPLETE, OR ENTIRELY FABRICATED. YOU USE THE SERVICE AT YOUR OWN RISK AND MUST INDEPENDENTLY VERIFY ALL INFORMATION OF IMPORTANCE.

Subject to the limitations and disclaimers throughout these Terms, the Service enables users to submit instructions, prompts, contact details, personal information, preferences, or other information you submit to the Service in relation to intended call recipients and call objectives ("Input"). Based on such instructions, Poruchik may attempt to place outbound telephone calls using automated or AI-assisted voice and dialogue capabilities. The Service may provide call summaries, reports, transcripts, interpretations, analyses, comparisons, rankings, translations, or other content generated by the Service in response to Input ("Outputs").

WARNING: AI-GENERATED SUMMARIES AND TRANSCRIPTS ARE APPROXIMATIONS, NOT ACCURATE RECORDS. The Service frequently misunderstands, misinterprets, omits critical information, and generates plausible-sounding but entirely fabricated details ("hallucinations"). Artificial intelligence models, including those used by this Service, are known to generate hallucinations — plausible-sounding but entirely fabricated information, including fake phone numbers, non-existent appointments, or invented details. The Service has no ability to distinguish between accurate information and hallucinations, to understand context, detect sarcasm, assess credibility, or distinguish important from unimportant information. YOU ACCEPT AND AGREE THAT YOU WILL NOT RELY ON ANY OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE OR YOUR OWN VERIFICATION.

During calls, the Service identifies itself as an AI-assisted calling service acting on behalf of the user on a recorded line. However, the Service does not and cannot act as your legal agent, fiduciary, or representative. The Service cannot make binding commitments, cannot exercise human judgment, and cannot be held to human standards of communication or professional conduct. No statement made or action taken through the Service creates any authority, obligation, or legal relationship binding on Beagle, you, or any third party, except as you may explicitly confirm independently of the Service.

For calls involving financial, medical, legal, or government matters, the Service provides NO verification, validation, interpretation, or analysis. Information is forwarded as received without any quality control, fact-checking, or professional review. All such information is provided for informational purposes only. You are solely responsible for independently verifying all information directly with the relevant party before making any decisions or taking any actions. You should not rely on AI-generated summaries or interpretations for any consequential decisions.

The Service relies on artificial intelligence models and related technologies provided by OpenAI. You acknowledge that such AI models are probabilistic and experimental in nature. Beagle and OpenAI make no representations or warranties regarding the accuracy, reliability, completeness, or suitability of any Output for any purpose. Beagle does not independently verify information obtained, communicated, or generated through the Service and has no ability to do so.

Recordings and transcripts, if provided, should not be relied upon as complete or accurate records. While calls may be recorded, the Service does not guarantee the quality, completeness, or accuracy of any recording or transcript. Technical failures, poor connections, background noise, accents, and AI limitations may result in missing, garbled, or incorrect content. Recordings and transcripts should not be relied upon as verbatim or authoritative records of conversations.

Third parties may misunderstand AI communications, fail to follow through, lack system access, or experience technical problems. The Service has no way to verify that third parties actually performed actions they appeared to agree to during calls. You must independently confirm all important Outcomes before relying on them.

Critical Limitation (Outputs vs. Outcomes): The Service can only report what it believes occurred during calls. It cannot control or guarantee what actually happens in the real world (“Outcomes”). For example:

• If the Output notes "appointment scheduled," this does not guarantee an appointment was actually entered into the applicable service provider's system who was supposed to have made the appointment.

• If the Output notes "reservation confirmed," the restaurant may not have actually booked your table

• If the Output notes "request completed," the third party may not have actually performed the requested action

• If the Output notes "information will be sent from the provider," you may never receive such information despite the provider’s promise.

It is critical to understand the difference between AI-generated Outputs and real-world Outcomes:

Outputs are the summaries, reports, transcripts, and interpretations that the Service generates about what allegedly occurred during calls. Outputs are AI-generated content that may or may not accurately reflect what actually happened.

"Outcomes" are what actually occurs in the real world as a result of the calls—whether appointments are actually made, whether information is correctly understood and acted upon by the called party, whether reservations are entered into systems, whether instructions are followed, and whether desired results are achieved.

THE SERVICE PROVIDES OUTPUTS ONLY. THE SERVICE HAS NO CONTROL OVER, CANNOT VERIFY, AND MAKES NO REPRESENTATIONS ABOUT ACTUAL OUTCOMES.

Even if an Output states that something was "confirmed," "completed," or "scheduled," this does not mean the Outcome actually occurred. Third parties may:

• Misunderstand the AI's requests

• Say "yes" without actually performing requested actions

• Fail to enter information into their systems

• Change their minds after the call ends

• Have technical failures that prevent completion

• Not have authority to make the commitments they appear to make.

You are solely responsible for verifying that desired Outcomes actually occurred by independently confirming with the relevant parties through your own direct communication. Never rely on Outputs as proof that Outcomes have been achieved.

5. Fees and Payment

There is no fee to open your Account. We provide subscription options that offer increased features and benefits. The Service may offer you, from time to time, opportunities to make purchases. All purchases are subject to applicable taxes.

Transactions initiated from our Service may be finalized on third-party platforms and payment processing services. You may also be subject to the terms of any payment processing service provider we utilize. Beagle does not record or store your credit card information.

Except if required by law, we do not provide refunds, regardless of whether any item or Service you purchased meets your needs or performs as expected. If a refund is granted or required, fees paid via credit card will be refunded back to the original credit card. The process might take up to sixty (60) days.

6. Intellectual Property Rights

CRITICAL WARNING—SENSITIVE AND CONFIDENTIAL INFORMATION

DO NOT INCLUDE SENSITIVE, CONFIDENTIAL, OR LEGALLY PROTECTED INFORMATION IN YOUR INPUT.

All Input you provide is transmitted to and processed by OpenAI's AI systems. This includes any instructions, contact details, context, or information you provide about the purpose of calls. OpenAI processes this data in accordance with its own Terms of Use and Privacy Policy, over which Beagle has no control.

You should assume that any Input you provide:

• May be processed and retained by OpenAI

• May be used to improve AI models (unless you opt out through OpenAI's processes)

• Could be exposed in the event of a data breach

• Is not protected by attorney-client privilege, doctor-patient confidentiality, or similar protections

• May violate laws like HIPAA, GDPR, or CCPA if it contains protected information

Examples of information you should NEVER include in Input:

• "Call my doctor about my diabetes diagnosis and ask about my A1C results"

• "Call the pharmacy and provide my insurance member ID: [number]"

• "Call Social Security Administration about my SSN [number]"

• "Call the school about my son [child's name] and his IEP meeting"

• "Here's my credit card number to give them: [number]"

Instead, provide only non-sensitive information:

• "Call my doctor's office to schedule a follow-up appointment"

• "Call the pharmacy to ask if my prescription is ready for pickup"

• "Call the Social Security office to ask about appointment availability"

• "Call the school to inquire about parent-teacher conference scheduling"

You are solely responsible for determining what information is safe to include in Input. Beagle has no technical ability to prevent you from inputting sensitive information and assumes no liability for your decision to do so. Your inclusion of any confidential, sensitive, or legally protected information in Input constitutes a waiver of any confidentiality protections and a representation that you have the right to disclose such information to third parties.

Our Service may utilize and contain technology, systems, capabilities, and content provided by Beagle and its licensors, including OpenAI (our "Intellectual Property"), that may be subject to copyrights, patents, trademarks, moral rights, and other intellectual property rights relating thereto (our "Intellectual Property Rights"). Beagle and its licensors retain all right, title, and interest in their respective Intellectual Property.

You understand that Input, once submitted, is subject to use by Beagle and its licensors, including OpenAI, directly or through the use of contractors or third-party service providers, for the provision of the Service and for Beagle's legitimate business purposes, including operating, maintaining, improving, and developing the Service, complying with legal obligations, enforcing these Terms, and communicating with you.

Third-Party AI Provider Data Use: The Service uses AI technology provided by OpenAI, L.L.C. When you submit Input to the Service, that Input may be transmitted to and processed by OpenAI's systems in accordance with OpenAI's Terms of Use and Privacy Policy, both available at openai.com. Similarly, Outputs generated by the Service may be processed or retained by OpenAI in accordance with OpenAI's policies. Neither Beagle nor OpenAI guarantees the confidentiality or security of Input or Outputs processed through AI systems. You should not include in your Input any information you wish to keep confidential, including sensitive personal information, proprietary business information, or legally protected information, unless you have reviewed and accepted OpenAI's data handling practices.

Outputs may include aggregated, comparative, or summarized information derived from multiple calls or sources, as well as translations or interpretations of communications conducted in languages other than the user's own. Such aggregation, comparison, translation, or interpretation may involve assumptions, judgment, or loss of nuance and may be incomplete, inaccurate, or misleading.

You represent and warrant that you have the requisite rights, permissions, and consents to submit all Input, including authority to provide contact information for intended call recipients, to place or cause calls to be placed for the purposes you specify, and to permit recording or transcription of calls where applicable.

7. Feedback

If you provide Beagle with any feedback (as defined below), you hereby grant Beagle a non-exclusive, fully paid, royalty-free, worldwide, perpetual, irrevocable, sublicensable, transferable, and assignable license to use, reproduce, distribute, modify, adapt, prepare derivative works based on, publicly perform, publicly display, and otherwise exploit such feedback for any purposes. "Feedback" means suggestions, comments, ideas, and all other information you provide to Beagle relating to the Service.

8. Restrictions and Beagle Responses

You agree that in respect of our Service and website, you will not:

(a) instruct the Service to place calls that are unlawful, deceptive, misleading, threatening, harassing, or abusive;

(b) instruct the Service to impersonate any person or entity or falsely represent identity, affiliation, or authority;

(c) use the Service in violation of telemarketing, robocalling, consumer protection, privacy, or call recording laws;

(d) provide false, misleading, unauthorized, or incomplete Input;

(e) attempt to bypass, undermine, interfere with, or disrupt the security or operation of the Service or any connected systems;

(f) reverse engineer, decode, disassemble, or attempt to extract underlying models, systems, or technologies;

(g) use the Service for:

Emergency services of any kind, including but not limited to 911, poison control, suicide prevention hotlines, or emergency medical services since Service is experimental AI technology that experiences failures, delays, misunderstandings, and errors. It is fundamentally unsuitable for any critical, urgent, or emergency use. You acknowledge that using the Service for such purposes could result in serious harm or death and agree never to do so;
Urgent medical situations including severe symptoms, medication emergencies, or mental health crises ;
Any situation where human life, safety, or health is at risk;
Time-sensitive matters where timing is critical, including appointment cancellations within 24 hours, prescription refills when you're out of medication, financial transactions with deadlines, legal filing deadlines, or travel changes when departure is imminent. AI processing delays and errors can cause you to miss critical timeframes;
Situations requiring immediate response or action;
Instances where professional judgment is required: Do not use for matters requiring professional medical advice, legal counsel, financial planning, or licensed professional services. The Service cannot exercise professional judgment and its outputs should never substitute for consultation with qualified professionals;
Regulatory/Compliance Matters: Do not use for regulatory filings, compliance deadlines, government submissions, or any purpose where you have legal obligations to meet specific requirements. The Service is not designed to meet regulatory standards;

(h) rely on the Service's outputs for any decision or action of consequence without independent verification. The Service is a convenience tool only and should never be your sole source of information for any important matter;

(i) use the Service in any manner that would violate applicable telemarketing laws, robocall restrictions, call recording notification requirements, or telecommunications regulations. You are solely responsible for ensuring all calls comply with applicable laws including obtaining any required consents;

(j) include in Input any information that is confidential, legally protected, or that you are obligated to keep private, including protected health information (HIPAA), personal data subject to privacy regulations (GDPR, CCPA), Social Security Numbers, financial account information, information about minors, or any other sensitive personal information. You acknowledge that once submitted, such information cannot be retrieved and Beagle has no ability to prevent its processing by third-party AI systems; or

(k) otherwise use the Service in violation of these Terms or applicable law.

We reserve the right to terminate your Account immediately if your violation of any of the foregoing is non-trivial or, in our discretion, harmful to the public, us, any other Account holder, or our licensors.

8. Changes to Terms

You agree, to the extent permitted by law, to indemnify, defend, and hold harmless Retriever, our affiliates, directors, officers, stockholders, employees, licensors, and agents (“Retriever Parties”) from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to: (a) your access to or use of the Services; (b) your breach of these Terms, any rights of another party or any applicable law or regulation; or (c) your negligence or willful misconduct. Retriever reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Retriever in asserting any available defenses. This provision does not require you to indemnify any of the Retriever Parties for any unconscionable commercial practice by such party or for such party’s fraud, deception, false promise, misrepresentation or concealment, or suppression or omission of any material fact in connection with the Services. You agree that the provisions in this section will survive any termination of your Account, these Terms and/or your access to the Services.

9. Call Recording and Consent Obligations

The Service may record telephone calls. You are solely responsible for determining whether call recording is lawful in your jurisdiction and the jurisdiction of the called party. Different states and countries have different laws regarding call recording, including "one-party consent" and "two-party consent" requirements.

You represent and warrant that: (a) You have determined that recording calls through the Service is lawful for your intended use; (b) You have obtained or will obtain any required consents or provided any required notifications before initiating recorded calls; and (c) Your use of the Service complies with all applicable telecommunications, call recording, and wiretapping laws.

While the Service may announce that calls are recorded, you cannot rely on the Service to provide legally adequate notification or obtain valid consent. You are solely responsible for all legal compliance.

Beagle disclaims all liability for any violation of call recording, wiretapping, or telecommunications laws arising from your use of the Service.

10. Representations

In addition to the representation about your age above, you represent that you are not subject to economic or trade sanctions and that your access to and use of the Service will fully comply with all applicable laws and regulations.

You represent and warrant that all Input you provide to the Service (a) does not contain any information that you are legally obligated to keep confidential, (b) does not contain protected health information subject to HIPAA, personal data subject to GDPR, or other legally protected information, (c) does not violate any privacy rights of third parties, and (d) is information you have the legal right to disclose to third-party AI providers. You acknowledge that you have been warned not to include sensitive information in Input and that any such inclusion is entirely at your own risk.

Our Service may contain links to third-party sites or resources. These links are provided for convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

12. Indemnification

This section only applies to the extent permitted by applicable law. You agree to defend, indemnify, and hold harmless Beagle, its affiliates, licensors (including OpenAI), and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) resulting from or arising out of (a) your breach of these Terms, (b) your use of the Service, including calls placed at your direction and any reliance by you or third parties on AI-generated Outputs, (c) any claim that you relied on the accuracy or completeness of the Service's outputs, (d) your Input or Outputs, (e) any violation of telecommunications laws, call recording laws, or consumer protection regulations arising from your use of the Service, (f) your violation of applicable law or third-party rights, (g) your inclusion of confidential, sensitive, or legally protected information in Input, including any violation of HIPAA, GDPR, CCPA, or other privacy laws resulting from your disclosure of such information to the Service, or (h) any breach of confidentiality, privacy violation, or unauthorized disclosure arising from your use of the Service to process information you were obligated to keep confidential. You agree to reimburse Beagle on demand for any defense costs incurred and any payments made or losses suffered in connection with such claims.

13. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the following limitations may not apply to you. To the fullest extent permitted by law, Beagle shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or the Service. Beagle's aggregate liability shall not exceed the total amounts you have paid to Beagle in the twelve (12) months preceding the claim, or $100 if no such amounts were paid.

14. Disclaimer

AI OUTPUT LIMITATIONS. THE SERVICE RELIES ENTIRELY ON ARTIFICIAL INTELLIGENCE TECHNOLOGY THAT IS EXPERIMENTAL, PROBABILISTIC, AND INHERENTLY UNRELIABLE. AI MODELS FREQUENTLY GENERATE "HALLUCINATIONS,” PLAUSIBLE-SOUNDING BUT ENTIRELY FABRICATED INFORMATION. THE SERVICE HAS NO ABILITY TO VERIFY FACTS, DETECT HALLUCINATIONS, OR ENSURE ACCURACY.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

(a) ANY USE OF OUTPUTS FROM THE SERVICE IS AT YOUR SOLE RISK;

(b) YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION;

(c) YOU WILL NOT USE OUTPUT AS A SUBSTITUTE FOR PROFESSIONAL ADVICE OR YOUR OWN INDEPENDENT VERIFICATION;

(d) THE SERVICE IS NOT DESIGNED FOR AND MUST NOT BE USED FOR SITUATIONS REQUIRING ACCURACY, RELIABILITY, OR PROFESSIONAL JUDGMENT;

(e) AI-GENERATED SUMMARIES, TRANSCRIPTS, AND INTERPRETATIONS FREQUENTLY CONTAIN ERRORS, OMISSIONS, AND FABRICATIONS;

(f) THE SERVICE CANNOT UNDERSTAND CONTEXT, NUANCE, SARCASM, OR SUBTLE COMMUNICATION; AND

(g) YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL INFORMATION BEFORE TAKING ANY ACTION OR MAKING ANY DECISION.

OUTPUTS DO NOT GUARANTEE OUTCOMES. You acknowledge that:

(a) Outputs are not evidence that Outcomes occurred;

(b) The Service cannot control third-party actions or systems;

(c) You must independently verify all important Outcomes;

(d) We disclaim all liability for any discrepancy between Outputs and Outcomes;

(e) We make no representations about whether third parties will perform as the AI reports they agreed to perform.

OUR SERVICE AND ALL INFORMATION, CONTENT, OUTPUTS, AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE ARE PROVIDED BY BEAGLE ON AN "AS IS" AND "AS AVAILABLE" BASIS. BEAGLE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

15. Governing Law

Any dispute or claim arising out of or related to these Terms shall be governed by the laws of the State of California, exclusive of its choice of law rules.

16. Arbitration and No Class Action

Except for our ability to seek an injunction against you in any court to prevent any imminent harm against Beagle or its users, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration subject to the U.S. Federal Arbitration Act ("FAA"), federal arbitration law and in accordance with the rules of the American Arbitration Association. The arbitrator's decision is final, except for a limited review by courts under the FAA, and can be enforced like any other court order or judgment.

Individual Arbitration. The arbitration shall be conducted on an individual basis, and not as a class, consolidated, or representative action. The arbitrator(s) shall have no authority to proceed with arbitration on a class or representative basis. Any relief awarded by the arbitrator(s) shall be individualized to the claimant and shall not affect any other party.

No Class Action. To the fullest extent permitted by applicable law, no arbitration or claim under these Terms shall be joined to any other arbitration or claim, including any arbitration or claim involving any other current or former user of our Services, and no class arbitration proceedings shall be permitted. You agree to waive any right you may have to commence or participate in any class action against us related to any claim and, where applicable, you also agree to opt out of any class proceedings against us.

Arbitration of AI-Related Claims. Any dispute relating to the accuracy, reliability, or fitness for purpose of AI-generated Outputs, including claims that you relied on inaccurate information provided by the Service or that Outcomes did not match Outputs, shall be resolved through individual arbitration as set forth in this Section. You expressly waive any right to bring such claims in court or as part of a class action.

Arbitrator Authority. The arbitrator(s) shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement, including any contention that all or any part of this arbitration agreement is void or voidable.

Severability. If any provision of this arbitration clause is found to be unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced.

Execution. This arbitration and no class action clause shall be effective upon acceptance by you of these Terms and shall survive the termination or expiration of these Terms.

17. Termination and Cancellation

We may refuse access to our Service or suspend, modify, or terminate your Account without notice for violation of these Terms or the terms of our service providers, including OpenAI. Upon termination, your access to the Service will cease and we are under no obligation to retain or provide access to any information associated with your Account.

Upon termination of your Account for any reason, Sections 6 (Intellectual Property Rights regarding your Input and licensing), 7 (Feedback), 12 (Indemnification), 13 (Limitation of Liability), 14 (Disclaimer), 15 (Governing Law), 16 (Arbitration), and this Section 17 shall survive and continue in full force and effect. Your obligations to independently verify information, not to rely on AI outputs, and not to rely on Outputs as evidence of Outcomes survive termination indefinitely.

18. Waiver

No waiver of these Terms by Beagle shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

19. Miscellaneous

These Terms constitute the entire agreement between you and Beagle relating to the Service. If any provision is held unenforceable, it shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.
